End User License Agreement (EULA)

Company: Thirdsight Inc. (“Thirdsight,” “we,” “our,” “us”)

By accessing or using the Thirdsight Analytics Platform (“Software”), you agree to be bound by this EULA. If you do not agree, do not use the Software.

1. License Grant & Restrictions

We grant you a limited, non-exclusive, non-transferable license to use the Software solely for your internal business operations. You may not:

• Reverse engineer, decompile, or modify the Software
• Rent, lease, sublicense, or provide Software access to third parties
• Use the Software to build a competing product or service
• Remove proprietary notices or trademarks

2. Ownership

The Software is licensed, not sold. Thirdsight retains all intellectual property rights.

3. AI System Use & Autonomy

The Software includes AI-driven analytics, language models, automation, and agentic inference systems. You acknowledge and agree:

• AI outputs are probabilistic and may be inaccurate or incomplete
• You are responsible for human review before making business decisions
• AI components must not be used for autonomous actions that create legal or financial obligations without oversight
• You must not use the Software to train external machine learning models

3A. AI Explainability & Transparency

The Software includes machine learning models, natural language generation, analytics, and inferential logic (“AI Systems”). While these features are designed to improve analysis and workflow efficiency, you acknowledge and agree to the following:

• AI outputs are based on statistical probability and may not reflect definitive truth or legally-binding conclusions
• Thirdsight will provide reasonable technical explanations of model behavior, decision factors, and inference logic upon request
• All AI-generated recommendations must be subject to human review, validation, and appropriate business judgment prior to use
• You may not represent AI outputs as certified compliance determinations or clinical or regulatory advice
• Where required by law or company compliance frameworks, you will disclose that outputs were generated by AI Systems
• You are responsible for determining whether AI outputs are suitable for any regulated use case

THIRDSIGHT MAKES NO WARRANTY THAT AI OUTPUTS WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR REGULATORY REQUIREMENT.

4. Data Processing & Security Addendum

Where Thirdsight processes Personal Data on your behalf, we act as a “Processor” and you act as a “Controller” pursuant to applicable privacy laws including GDPR, CCPA, and similar regulations. We agree to:

• Process Personal Data only on your documented instructions
• Implement commercially reasonable security safeguards
• Ensure personnel confidentiality and access controls
• Support data subject rights requests where applicable
• Notify you without undue delay of confirmed data breaches

You agree to:

• Provide all legally required notices and consents for data ingestion
• Not provide data that violates law or infringes third-party rights
• Indemnify Thirdsight for claims arising from unlawful data

5. Confidentiality

Both parties agree to protect each other’s confidential information using reasonable safeguards.

6. Service Levels & Updates

Software availability is not guaranteed unless defined in a separate Service Level Agreement. Thirdsight may update or discontinue features at its discretion.

7. Warranty Disclaimer

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND.

8. Limitation of Liability

Thirdsight’s total liability is limited to fees paid by you in the six (6) months prior to the event giving rise to the claim. No indirect or consequential damages are recoverable.

9. Term & Termination

This EULA continues until terminated. Upon termination, you must stop using the Software and destroy all local copies.

10. Export Compliance

You will not use or transfer the Software in violation of U.S. export laws.

11. Governing Law

This EULA is governed by the laws of the State of California. Courts in Los Angeles County have exclusive jurisdiction.

12. Modifications

We may revise this EULA periodically. Continued use of the Software means you accept the updated terms.

By using the Software, you acknowledge that you have read, understood, and agreed to be bound by this EULA.
